These Terms of Service (“Terms”) govern your use of tradetemplateco.com (the “Site”) and the digital templates sold by Trade Templates Co. (“we,” “us,” or “our”), including products delivered through this Site, our Etsy shop, and our Payhip storefront. By visiting the Site or purchasing a template, you agree to these Terms. If you do not agree, please do not use the Site or buy a template.
We are a small business, not a law firm. These Terms are written in plain language and aim to be fair to both sides.
1. About us
Trade Templates Co. is a one-person digital-template shop operated by D. Zwick, located in Florida, United States. You can reach us at zwickdemarcus@gmail.com.
2. Use of the Site
You may browse our Site, read our articles, and purchase templates for your own personal or business use. You agree not to:
- attempt to interfere with the Site’s security or normal operation,
- scrape the Site at a rate that imposes an unreasonable load on our servers,
- impersonate Trade Templates Co. or any of our staff or partners, or
- use the Site to violate any applicable law or to harass anyone.
We may refuse service, restrict access, or close accounts that violate these Terms.
3. Templates: what you’re buying
Our templates are digital files — typically Microsoft Word (.docx), Microsoft Excel (.xlsx), PDF, or text-based formats — designed as starting points for tasks common to small contractors, trades businesses, and other small operators. These include estimating spreadsheets, lien-waiver templates, change-order forms, subcontractor agreements, workmanship warranties, bookkeeping tabs, and similar documents.
Every template is an editable starting point, not a finished, jurisdiction-specific instrument. You are responsible for adapting the file to your situation before relying on it.
4. License — what you may and may not do with a template
When you buy a template, you receive a personal or single-business license to use the file for your own work. Specifically:
You may:
- Use the template on as many of your own projects, jobs, or clients as you want.
- Edit, rebrand, customize, and adapt the template to fit your business and your jurisdiction.
- Print, save, and share the resulting documents with your own clients, employees, subcontractors, or accountants as part of normal business operations.
- Keep a backup copy on your own devices.
You may not:
- Resell, sublicense, or redistribute the unedited template — for example, you cannot list it on Etsy, Gumroad, Payhip, Creative Market, or any other marketplace.
- Share the template file itself with other contractors, friends, or “team accounts” outside your own business as a free or paid download.
- Claim authorship of the original template or pass it off as your own product.
- Use the template, in whole or in substantial part, as the basis of a competing template product.
- Use the template for any unlawful purpose.
Trade Templates Co. retains ownership of the underlying template design, structure, and formatting. The license is non-transferable except in the case of a business sale (in which case it transfers with the business).
5. Digital downloads — refund policy
Because our products are instantly delivered digital files, all sales are final once the file has been delivered, except in the following circumstances:
Technical issue refunds — 7 days. If you cannot open, download, or use the file because of a technical defect on our side (corrupted file, broken download link, missing pages, format that doesn’t work as described), email us at zwickdemarcus@gmail.com within 7 days of purchase. We’ll either replace the file or refund the purchase, your choice.
No refunds for change of mind, incompatibility we disclosed, or “I didn’t realize what I was buying.” Listings include screenshots, page counts, and a description of what the template covers — please read them before buying. Likewise, listings disclose any AI involvement, and you accept those terms at checkout.
State-specific lien-waiver products. Our Lien Waiver Pack listing makes clear that 12 U.S. states require a specific statutory waiver form and our template is not a statutory waiver in those states. Buyer’s responsibility to confirm fit before use; this is not a basis for refund.
Etsy and Payhip have their own internal refund/dispute systems. We honor decisions made by those platforms on disputes raised there.
6. Disclaimers — the templates are starting points, not advice
You can find the full text of our disclaimers on file at disclaimers.md and in each individual template. Summary version:
- Our templates are for informational and starting-point purposes only. They are not legal advice, not financial advice, not tax advice, and not jurisdiction-specific compliance documents.
- Construction, contract, lien-waiver, employment, and tax laws vary by state and change over time. You are responsible for verifying that any template you use is appropriate for your jurisdiction, your project, your contract, and your liability needs.
- Spreadsheets that perform cost, margin, markup, or estimating calculations contain illustrative formulas. You must verify every figure against your actual costs, supplier prices, labor rates, and local market conditions before submitting any estimate, invoice, or financial document.
- Some templates have been created with the assistance of AI tools and reviewed, edited, and quality-checked by us before listing. This is disclosed in each listing.
- Before relying on any template in a real project, have a qualified attorney, CPA, or licensed professional in your state review and adapt it.
7. Limitation of liability
To the maximum extent permitted by applicable law, Trade Templates Co. is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, business interruption, regulatory penalties, project delays, or any damages arising from your use of, or inability to use, a template.
Our total liability for any claim arising out of or relating to the Site, the templates, or these Terms is limited to the amount you paid for the specific template at issue.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this section may not apply to you.
8. Indemnification
You agree to indemnify and hold Trade Templates Co. harmless from any claim, loss, liability, or expense (including reasonable legal fees) arising from your use of a template in violation of these Terms, in violation of applicable law, or in a manner that infringes the rights of any third party.
9. Third-party platforms
When you buy through Etsy or Payhip, the purchase is also governed by that platform’s terms of service and refund/dispute policies. These Terms apply in addition to the platform’s terms — to the extent the platform’s terms differ, the platform’s terms govern the transaction made on that platform, and our Terms continue to govern the license and use of the template file itself.
10. Intellectual property
All template content, design, structure, copy, screenshots, and the Site as a whole are owned by Trade Templates Co. or licensed to us. You may not copy, modify, or distribute any part of the Site, except as expressly allowed in Section 4 (template license).
If you believe content on the Site infringes your copyright, please email zwickdemarcus@gmail.com with a description of the work, the location of the alleged infringement, and your contact information.
11. Changes to these Terms
We may update these Terms from time to time. When we do, we’ll revise the effective date at the top of the page. Material changes will also be announced via our newsletter to subscribed customers. Your continued use of the Site or purchase of a template after a change constitutes acceptance of the updated Terms.
12. Governing law and disputes
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Florida, and you consent to the jurisdiction of those courts.
If you live in a jurisdiction that grants you mandatory consumer protections that cannot be waived (for example, EU consumer law for EU residents), nothing in these Terms reduces those protections.
13. Severability
If any part of these Terms is found unenforceable, the rest of the Terms remain in effect.
14. Entire agreement
These Terms, the Privacy Policy at tradetemplateco.com/privacy-policy/, and the disclaimers included with each template constitute the entire agreement between you and Trade Templates Co. with respect to the Site and the templates.
